Terms of Service

1. What Clovemi Is

Clovemi is a business management platform that helps small and medium businesses track daily sales and expenses, reconcile cash, and view reports across one or more locations. Clovemi is a tool to help you run your business — it does not provide accounting, tax, legal, or financial advice, and nothing in the Service should be treated as such. You're responsible for the accuracy of the data you enter and for any decisions you make based on it.

2. Your Account

You need an account to use Clovemi. You're responsible for keeping your login credentials secure and for all activity that happens under your account. Tell us right away if you suspect unauthorized access. You must be legally able to enter into this agreement, and the information you give us when signing up must be accurate.

3. Your Data

The business data you enter into Clovemi — your sales, expenses, customers, inventory, and everything else — belongs to you. We don't claim ownership of it. We store and process it in order to provide the Service to you (and, where you've enabled a feature that uses it, to power that feature — for example, generating a report). We don't sell your business data.

You're responsible for the legality and accuracy of the data you put into Clovemi, and for having any rights or permissions needed to store your customers' information there if you choose to do so.

4. Plans, Billing, and Cancellation

Clovemi offers a Free plan and a paid Pro plan. Pro plan pricing is shown at checkout and is billed on a recurring monthly basis through our payment processor, Stripe. By subscribing to Pro, you authorize us to charge your payment method each billing period until you cancel.

You can cancel anytime from Settings → Billing. Cancelling stops future billing; it doesn't automatically refund the current billing period. If you believe you were charged in error, contact us — we'll look into it in good faith. We may change our pricing going forward; if we do, we'll give you reasonable notice before it applies to you.

5. Acceptable Use

Please don't use Clovemi to:

• Break the law, or store or process data you don't have the right to
• Try to gain unauthorized access to other accounts, organizations, or our systems
• Interfere with or disrupt the Service, or attempt to bypass its usage limits or security
• Reverse-engineer, resell, or white-label the Service without our written permission

We may suspend or terminate accounts that violate this section.

6. Service Availability

We work to keep Clovemi available and reliable, but we don't guarantee the Service will be uninterrupted, error-free, or available at all times. We may need to pause the Service for maintenance, updates, or issues outside our control. The Service is provided "as is" and "as available," without warranties of any kind, express or implied.

7. Limitation of Liability

To the fullest extent permitted by law, Clovemi and Jesmiyatech won't be liable for any indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data, arising from your use of (or inability to use) the Service. Our total liability to you for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose, or CAD $100 if you're on the Free plan.

Nothing in these Terms limits liability where the law doesn't allow it to be limited.

8. Termination

You can stop using Clovemi and close your account at any time. We may suspend or terminate your access if you violate these Terms, or with reasonable notice for other reasons (for example, discontinuing the Service). If your account is terminated, we may delete your data after a reasonable period — export anything you need beforehand.

9. Changes to These Terms

We may update these Terms from time to time as Clovemi grows. If we make material changes, we'll let you know (for example, by email or an in-app notice) before they take effect. Continuing to use Clovemi after a change takes effect means you accept the updated Terms.

10. Governing Law

These Terms are governed by the laws of British Columbia and the applicable laws of Canada, without regard to conflict-of-law principles.
